I am currently using pentium 4 630+ 3.00GHz. I am thinking of upgrading both motherboard and processor. I want to buy a Dual Socket LGA 775 motherboard with 2x Pentium XE 3.8GHz (Dual core w/HTT).

I think thats kool.

I have two AMD Athalon 64s, and those two processors are utilized to their fullest less than half the time, unfortunately, and I need to get tons more ram, because then I'm also not utilizing them to their absolute fullest.
